1. Acceptance of Terms
By accessing and using FileShare ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms apply to all users of the Service, including individuals and organizations that create accounts, upload files, or access shared content.
2. Service Description
FileShare is a secure file sharing and collaboration platform that provides:
- File storage and sharing with military-grade encryption
- Two encryption modes: End-to-End (E2E-AES-256-GCM) and Server-Side (AES-256-GCM)
- Role-based access control with three user types: Configurators, Coordinators, and Members
- Time-limited, download-capped shareable links
- Cross-platform desktop applications for Windows, macOS, and Linux
- Team collaboration features including audit logs and file versioning
3. User Responsibilities
When using FileShare, you agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Use strong passwords meeting our minimum requirements (12+ characters, mixed case, numbers, special characters)
- Notify us immediately of any unauthorized access to your account
- Comply with all applicable laws and regulations
- Respect intellectual property rights of others
4. Prohibited Uses
You may not use FileShare to:
- Upload, store, or share illegal content or content that violates third-party rights
- Distribute malware, viruses, or other malicious code
- Engage in any activity that disrupts or interferes with the Service
- Attempt to gain unauthorized access to other users' accounts or files
- Use the Service to spam, harass, or harm others
- Resell or redistribute the Service without authorization
- Reverse engineer or attempt to extract source code from the Service
Violation of these prohibitions may result in immediate termination of your account and legal action.
5. Data Ownership and Encryption
You own your data. FileShare does not claim ownership of any files, content, or data you upload to the Service.
End-to-End Encryption (E2E-AES-256-GCM):
Files encrypted with E2E encryption are encrypted on your device before upload. FileShare cannot decrypt, access, or read these files. Only you and authorized team members with the encryption keys can access this content.
Note: If you lose your encryption keys, we cannot recover your E2E encrypted files.
Server-Side Encryption (AES-256-GCM):
Files encrypted with server-side encryption are encrypted after upload using keys managed by FileShare. While we implement strong security measures, FileShare technically has the ability to decrypt these files for service delivery purposes (e.g., generating shareable links, virus scanning).
By choosing your encryption mode, you acknowledge and accept the privacy and functionality trade-offs of each method.
6. Payment Terms
FileShare offers multiple subscription plans (Base, Pro, Max, Enterprise) with different pricing and feature limits.
- Billing: Subscriptions are billed monthly or annually through Stripe, our payment processor
- Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
- Price Changes: We will provide 30 days notice of any price increases
- Plan Changes: You may upgrade or downgrade your plan at any time; changes take effect immediately
- Refunds: Refunds are provided on a case-by-case basis within 14 days of initial purchase. No refunds for renewals.
- Taxes: Prices do not include applicable sales tax, VAT, or other taxes, which will be added as required
7. Service Availability and Limitations
While we strive for 99.9% uptime, FileShare is provided "as is" and we do not guarantee uninterrupted access.
- We may perform scheduled maintenance with advance notice
- Emergency maintenance may occur without notice
- Service availability may be affected by factors outside our control
- We reserve the right to modify or discontinue features with reasonable notice
Plan-specific limits (number of Configurators, Coordinators, Members) are enforced and may not be exceeded without upgrading to a higher-tier plan.
8. Termination
Your Rights: You may cancel your account at any time through your account settings or by contacting support. Upon cancellation:
- Your subscription will not renew at the next billing cycle
- You will retain access until the end of your paid period
- You are responsible for downloading your files before access expires
- After 30 days post-cancellation, your files may be permanently deleted
Our Rights: We reserve the right to suspend or terminate your account if:
- You violate these Terms of Service
- Your payment fails or your account is past due
- We are required to do so by law
- Your use of the Service poses a security risk to other users
We will provide notice before termination when possible, but immediate termination may occur in cases of severe violations or legal requirements.
9. Limitation of Liability
To the maximum extent permitted by law, FileShare and its operators shall not be liable for:
- Loss of data, profits, or business opportunities
- Indirect, incidental, or consequential damages
- Damages resulting from unauthorized access to your account
- Service interruptions or data loss due to factors beyond our control
Our total liability for any claims related to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.
Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.
10. Data Backup and Recovery
While we implement regular encrypted backups of our systems, you are solely responsible for maintaining backup copies of your important files. We are not responsible for data loss due to:
- User error or accidental deletion
- Account termination or cancellation
- Security breaches of your account credentials
- Loss of E2E encryption keys
11. Dispute Resolution
In the event of any dispute, claim, or controversy arising from these Terms or the Service:
- You agree to first contact us to attempt informal resolution
- If informal resolution fails, disputes will be resolved through binding arbitration
- Arbitration will be conducted in accordance with applicable arbitration rules
- You waive the right to participate in class action lawsuits
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.
- Material changes will be communicated via email or in-app notification
- Changes take effect 30 days after notification
- Continued use of the Service after changes constitutes acceptance
- If you do not agree to changes, you may cancel your account
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which FileShare operates, without regard to conflict of law principles.
